Who is this course for?: Company secretaries in PLCs and their advisors

This one-day course offers an introduction for company secretaries and other professionals who need to engage and comply with the Listing Rules and Transparency and Disclosure Rules for a wide range of company transactions – from obtaining a listing through to continuing obligations, directors’ dealings and acquisitions and disposals. The course also examines the legal context within which those transactions are undertaken, with particular reference to the Financial Services and Markets Act 2000, the newly-revised corporate governance regime and other relevant law and regulation.

Delegates will receive practical advice and guidance, together with all the information they need to navigate the Rules effectively and apply them in a range of business situations.

Speakers
Gabrielle Williams
Gabrielle Williams MA FCIS qualified as a chartered secretary in the early 1980s and has worked in professional practice in the UK and Hong Kong and for a number of listed companies, including Carlton Communications plc and BAA plc. She has experience at main board level in corporate governance, mergers, demergers, disposals and acquisitions, fund raising and rights issues, corporate strategy and senior reward and recognition. She is currently company secretary of the Killby & Gayford Group.

Will Pearce
Will is a corporate partner at Herbert Smith LLP and advises on a wide range of corporate finance, public and private M&A and capital markets transactions for corporates and investment banks, with particular experience of advising on takeovers, M&A transactions for listed corporates, schemes of arrangement and UK and international equity offerings and listings. His recent experience includes advising Citi and Lazard on Emap’s £1.14 billion disposals of its radio and consumer media divisions to Bauer; Logica on its £882 million acquisition of WM-data and €930 million acquisition of Unilog (partly funded by a £389 million 1 for 2 rights issue); and Merrill Lynch and UBS as financial advisers, sponsors and underwriters on the demutualisation, initial public offering and £4.65 billion London Stock Exchange listing of Standard Life.
