Running an effective AGM
A one-day course examining the legal and compliance issues around running a company AGM

The annual general meeting is more than just a procedural obligation: it’s a vital opportunity for shareholders to meet the board, receive the report and accounts, elect or re-elect directors, and vote on resolutions. In the wake of the Companies Act 2006, it’s never before been more crucial that companies get it right.

This interactive one-day course examines the issues for company secretaries and others involved in organising and running an AGM. The course will examine the role of the secretary and board members before, during, and after the meeting, and will look in-depth at the legal obligations and corporate governance practices around AGMs. Areas covered include planning, timing and other year-end issues; the role and duties of the chairman; notice periods and resolutions; voting procedures and proxies; and communications after the event.

Speakers
Andrew C Hamer
Andrew C Hamer LLB ACIS, a partner of The Mentor Partnership, writes and lectures widely on company secretarial and legal issues. He is assistant editor of the ICSA information service, Company Secretarial Practice, and editor of the ICSA's Company Secretary newsletter. He is also the author of titles for ICSA Publishing including The ICSA Meetings and Minutes Handbook and The ICSA Guide to Document Retention.

Peter Swabey
is the company secretary at Equiniti formerly Lloyds TSB Registrars, and is a fellow of the ICSA, and has worked for more than 20 years in the share registration industry. He is deputy chairman of the ICSA Registrars Group, and is a member of the Company Secretary’s Forum, the CBI Companies Committee and the Shareholder Voting Working Group. Peter has been working on the delivery of electronic shareholder communications solutions for over seven years, being responsible for Lloyds TSB Registrars providing the first UK electronic proxy appointment service for Lloyds TSB Group. He has also overseen the provision of a wide variety of electronic shareholder communication services, and electronic proxy services for over 150 clients and over 50,000,000 shareholders.
