KEYNOTE ADDRESS: Companies House update
The final implementation of the Act poses an enormous challenge for Companies House. In this session, a representative from Companies House looks at how the organisation is getting ready for October.

On the record: the register of companies
The Act introduces some far-reaching changes to the register – changes to the data held on directors and company secretaries, and to the regime on being struck off and restored to the register. Our experts take a look.

Overseas companies: the new regime
Final implementation of the Act also sees new rules coming into force for companies incorporated outside the United Kingdom. This session looks at what’s in store.

    Shares and share capital
    Some of the key provisions coming into force in October relate to shares and share capital in Parts 17 and 18 of the Act. This session looks at the impact of the abolition of authorised share capital, the rules on issue of new shares and the final changes to the capital maintenance provisions, including share buy backs and financial assistance.

    Beyond the Act: the Shareholder Rights Directive
    No sooner has the ink dried on the new company law regime than it is being rewritten. This session looks at what the implementation of the EU Shareholder Rights Directive means for Part 13 of the Act.

    Julia Casson
    provides corporate governance and compliance advice to companies, acts as company secretary and undertakes board and committee effectiveness reviews. She has over 20 years experience as a Company Secretary in international PLCs, most recently as Company Secretary of Pearson PLC.

    Mark Wearden
    A background of 12 years in the City, eight years senior financial management, and 10 years running MBS Limited, a strategic change consultancy, gives Mark a breadth of practical experience. He regularly delivers public, bespoke, in-house and University training and development programmes, while continuing to work at a senior practical level within companies

    Andrew C Hamer
    Andrew C Hamer LLB ACIS, a partner of The Mentor Partnership, writes and lectures widely on company secretarial and legal issues. He is assistant editor of the ICSA information service, Company Secretarial Practice, and editor of the ICSA's Company Secretary newsletter. He is also the author of titles for ICSA Publishing including The ICSA Meetings and Minutes Handbook and The ICSA Guide to Document Retention.

    Keith Walmsley
    Keith Walmsley, LL.B, Barrister, FCIS, is one of the UK’s best-known writers and commentators on company law and corporate governance. Among his many publications in this field, he edits the official ICSA information service, Company Secretarial Practice. He is the legal advisor to the London Law Agency Ltd.

    Lorraine Young
    Lorraine Young, FCIS, is a freelance company secretarial consultant who provides advice to a wide range of client companies on corporate governance and company secretarial best practice. She has been a company secretary for almost 20 years and has extensive in-company and advisory experience in a range of company contexts.

    Jaya Gupta
    is a PSL counsel in the corporate department of Allen & Overy, who she has been with since 2000. She has extensive experience pf public and pricate M&A and general corporate work. Prior to joining A&O Jaya was a corporate associate at another City firm for six years.

    Carol Shutkever
    Partner, Corporate, Herbert Smith LLP
    Carol has a breadth of experience in corporate finance, corporate and commercial transactions and technical expertise in corporate finance, including equity fund raising, takeovers and financial services regulation. She now concentrates on providing technical advice on company and corporate finance law issues, analysing new law and regulation and ensuring that Herbert Smith is at the forefront of corporate law and practice. Carol is a member of a number of the Law Society Company Law working parties on the Companies Act 2006 and has been involved in the discussions on the legislation with the Government. She is leading the firm’s Companies Act 2006 team, including providing education and know-how to clients and the firm’s lawyers and analysing practical implications for companies.


    Tim Moss
    Tim joined Companies House in September 2002 and heads a wide portfolio of work, including business strategy and planning, policy and legislation, marketing and stakeholder management, efficiency, better regulation, fraud and corporate communications.
