Company directors and the terms under which they are hired are today under scrutiny to an extent greater than ever before, and even the most diligent of businesses can find themselves on the wrong end of embarrassing publicity about their executives’ arrangements.

This half-day course looks at the very latest thinking on how best to design contracts for senior executives, and considers everything from the main provisions which should be included, to what should be done throughout the course of that executive’s employment, and through to when the employment terminates. Specific issues examined include the fundamental requirements under employment and company law; executive recruitment and induction; governance and listing obligations; remuneration, performance and risk management; and termination and removal.

This course takes a very practical and considered approach to what is an issue of immense complexity and sensitivity for company boards and their advisers.

Speakers
Alison Shropshire
is barrister and a consultant who specialises in employment law and corporate governance. She has more than 20 years experience as an in-house legal advisor, advocate and senior manager within a FTSE 100 company dealing with both collective and individual employment issues. Her broad experience encompasses the transport sector, both rail and airport operations and the retail sector.

Gabrielle Williams
Gabrielle Williams MA FCIS qualified as a chartered secretary in the early 1980s and has worked in professional practice in the UK and Hong Kong and for a number of listed companies, including Carlton Communications plc and BAA plc. She has experience at main board level in corporate governance, mergers, demergers, disposals and acquisitions, fund raising and rights issues, corporate strategy and senior reward and recognition. She is currently company secretary of the Killby & Gayford Group.
